In reference to the Company's announcement dated 3 January 2005 of the Company's acceptance of a letter of offer dated 22 December 2004 from Cimtek and its shareholders (collectively, the "Offerors") to subscribe and acquire up to 80.00% of the enlarged issued and paid-up share capital of Cimtek subject to the finalisation of a conditional sale and purchase agreement and a subscription agreement (the "Letter of Offer"), K&N Kenanga Bhd, on behalf of the Company, wish to announce that AsiaEP had on 4 March 2005 received a written request from the Offerors to extend the validity of their offer by another thirty (30) days from the date of said request, i.e. 4 March 2005 ("Extension Letter"). In view of this extension request, the Board of Directors of AsiaEP had on 4 March 2005 accepted the Extension Letter.

Notwithstanding the acceptance of the Extension Letter, the terms as set out in the Letter of Offer shall remain, subject to the execution of the above mentioned agreements. Further details in respect of the Letter of Offer are set out in the Company's announcement dated 3 January 2005.
